TERMS AND CONDITIONS OF THE ONLINE SHOP


§ 1. General Terms

1. CBS Refrigeration Ltd.’s online shop conducts sales through the internet based on these terms and conditions.
2. The terms and conditions constitute an integral part of the contract of sale with the client.
3. The client declares that prior to signing a contract of sale with CBS Refrigeration Ltd., they have acquainted themselves with the terms and conditions.
4. Prices quoted by the shop are gross prices (inclusive of VAT).
5. Goods available at the shop are brand new and free from any physical and legal defects.

§ 2. Orders

1. Orders can be placed in the following ways: by email to the address provided on the shop’s website; or by phone by calling numbers designated to placing orders available on the shop’s website.
2. Following the placing of an order via the designated email address, a message is then sent to the client with information regarding further stages required to complete the order. Additionally, it may be also the case that an employee will contact the client by phone in case of any questions or queries. Any telephone calls are made at the shop’s expense only.
3. At the latest, from the moment the client wishes to sign a contract, CBS Refrigeration Ltd., through clear and unambiguous information displayed on the online shop, carries out informative duties listed under the Electronic Commerce (EC Directive) Regulations 2002, implementing the EU's Electronic Commerce Directive 2000 into UK law, particular information regarding the main features of services rendered by the company, CBS Refrigeration Ltd.: designations, total price, and right to withdraw from the contract.  
4. Directly before placing an order, CBS Refrigeration Ltd. provides the client with clear and visible information on the main features of services, taking into account the subject matter of service as well as a mode of communicating with the client, total price including taxes and transport costs, delivery, and courier services on the website.
5. Pictures of equipment placed on the CBS Refrigeration shop website may not represent equipment accurately, in particular there may be ‘slight inconsistencies’ in colour on different screens and due to different presentations. Technical specifications of a device shall be decisive.
6. Information found on the shop’s website does not form an offer by law. By placing an order, the client submits an offer of purchase of a specific item.  
7. The order is completed when the shop sends the buyer an email with a confirmation accepting an order for its completion.
8. The deadline for completing an order shall be counted from the moment when payment of the client’s order is credited to the shop’s bank account.
9. In case an item is not available (i.e. due to a manufacturer), the client shall be immediately notified and any payment received from the client shall be returned with immediate effect.  
10. The client shall bear responsibility for providing CBS Refrigeration Ltd. with correct information required for invoicing, as well as to the place of delivery of equipment. Any other subsequent changes will not be accepted, in particular, changes to an invoice.  


§ 3. Payment

1.  Prices quoted on CBS Refrigeration Shop website are gross prices (VAT inclusive).
2. The client may choose the following methods of payment for ordered goods:
Bank transfer – bank transfer into the seller’s bank account (in this case order completion will start after the seller sends the client confirmation of accepting an order as well as after receiving payment means in the seller’s bank account);  
Electronic payment – payment through an external system: PayPal, operated by the PayPal company (in this case order completion will start after the seller sends the client confirmation of accepting an order as well as after the seller receives information from PayPal’s system on payment being made by the client).
3. The client shall make a payment for an order within 7 days. Following that time, an order will be automatically annulled.


§ 4.Delivery

1. The seller completes delivery solely in the area of Great Britain.
2. The deadline for order completion is 2-3 weeks.
3. Any queries related to technical specifications shall be dealt with prior to allocating a specific period for equipment delivery.
4. Ordered goods are delivered to the client through a delivery courier to the address indicated in the form and invoice.
5. Where there are irregularities in terms of delivery deadline or services, affected by force majeure or unpredictable events beyond our responsibility, and causing delivery to be significantly hindered or else impossible, e.g. strikes, lockouts, operational disturbances, delays in accessory delivery (referring to our subcontracted couriers), CBS Refrigeration Ltd. reserves the right to extend the deadline for delivery for a period of up to 2 weeks. If the disturbance lasts longer than 2 weeks, then the client has the right to withdraw from the contract.
6. Multiple delivery attempts:
    - The client agrees to collect equipment within the previously defined time limit and place of delivery. Otherwise, CBS Refrigeration Ltd. may charge additional costs for any subsequent delivery attempts to the client.  
7. The buyer is issued a VAT invoice.

§ 5. Assembly

1.    In cases where CBS Refrigeration Ltd. performs an assembly at the client’s premises, the client agrees to collect it following the assembly. The client’s signature on the invoice signifies acceptance of this, i.e. collection of equipment following an assembly. The invoice signed by the client shall be kept as the document forms a basis of warranty, or complaint.
2.    CBS Refrigeration Ltd. equipment is assembled by our specialists. The client agrees to be facilitating during assembly so that the assembling team is able to perform their work unobstructed.

§ 6.  Complaints

1. CBS Refrigeration Ltd. shall be responsible to the client for any goods’ defects based on the Consumer Rights Act 2015.
2. Complaints related to goods ordered from the online shop may be sent via email to:

3. CBS Refrigeration Ltd. will respond to complaints within 14 days from the filing date, as well as informing the client of further modes of procedure.
4. All purchased items are brand new, have a one-year warranty, and are delivered to the client along with the relevant manuals.
5. Pictures of equipment placed on the CBS Refrigeration shop website may not represent equipment accurately, in particular there may be ‘slight inconsistencies’ in colour on different screens and due to different presentations. Technical specifications of a device shall be decisive. CBS Refrigeration reserves the right against filed complaints regarding the shade of equipment which the client is unhappy about.
5. The basis for warranty is a VAT invoice which is issued to the client along with the manual. Please bear this in mind and read through the instructions for use.
6. CBS Refrigeration Ltd. shall not responsible for damages resulting from improper storage or usage of purchased equipment.
7. Where the goods are defective, the client may file a statement for lowering the price or withdrawing from the contract unless CBS Refrigeration Ltd. removes the defect(s) immediately and without excessive inconvenience to the client. This limitation is not applicable should the goods have already been fixed by the company or if the company has not satisfied the duty of removing a defect.  
8. The lowered price should remain in proportion to the price resulting from a contract at which value of the defective goods is proportionate to the value of goods without defect.
9. The client may not withdraw from the contract if the defect is insignificant.
10. The client may, instead of having a defect removed when proposed by CBS Refrigeration Ltd., demand an exchange of goods for goods free from defects. Alternatively, they may demand removal of the defect unless the provision of goods in line with the chosen contract by the client is impossible to fulfil or would require excessive costs compared to the suggestion by CBS Refrigeration Ltd.   
11. CBS Refrigeration Ltd. may refuse to satisfy the client’s demand if provision of the defective goods in line with the contract is impossible to fulfil, or if compared with other possible methods of providing goods in line with the contract would require excessive costs, e.g. where the cost of defect removal would exceed the price of a sold item or when a physical defect is mentioned following the lapse of the one-year warranty.
12. If delivery of goods to the client would be excessively hindered due to the type of goods or method of its assembly, the client agrees to facilitate this for CBS Refrigeration Ltd. in regards to location.
13. A corrected invoice issued after the filing of complaint, and thus payment refund, shall take place following prior technical inspection of the returned item.  

§ 7. Right of withdrawal from the contract

1. The client may withdraw from a contract by filing a statement of withdrawal from the contract to CBS Refrigeration Ltd. In order to meet the deadline, filing a statement before its lapse shall suffice. The statement may be filed in a form e.g. attachment no. 1 of Terms and Conditions, as well as the one available on the online shop’s website after logging into an account.
2. Declarations of withdrawing from a contract of the online shop may be filed in writing to the address of: CBS Refrigeration Ltd.    Bizspace Business Centre    4/6 Wadsworth Rd.  UB6 7JJ   London  
or via email address:   info@refrigeration-cbs.co.uk , or in person.
3. CBS Refrigeration Ltd. immediately sends the client a confirmation email declaring receipt of the contract withdrawal via email.   
4. Payment refunds are made by the same mode of payment that was used by the client, i.e. into a bank account from which a bank transfer was made, or into a bank account linked to a credit or debit card, which the client used to make payment.
5. A VAT invoice (along with the signature and date of the client and CBS Refrigeration Ltd.) is a document confirming purchase of equipment from CBS Refrigeration Ltd.’s online shop.
6. The client shall bear liability for decreasing the value of equipment as a result of using it in a way exceeding the need for determining the nature, features and functioning of it.

§ 8. Personal data protection

1. By placing an order, the client agrees to have their personal data processed solely for completion of the order.

2. The client may also express a separate consent to receive promotional and advertising material, including a commercial bulletin, from the online shop.  

3. The client has a right to have access to their personal data as well as a right to amend it, demand for the halting of its processing, and objection to its processing.

§ 9. Final provisions

1. In matters not governed by these terms and conditions, the UK’s E-Commerce Regulations are applicable.

2. The terms and conditions take effect from the day they go live on the online shop’s website.

3. These terms and conditions may be subject to change.

4. Changes to the terms and conditions will be published on the online shop’s website.

5. Changes to the terms and conditions take effect upon the lapse of 14 days from the date when they were published in a manner defined by Par. 4.

6. Any disputes arising between CBS Refrigeration Ltd. and the client shall be dealt with by relevant courts of law in the United Kingdom.
